This Law enters into force after its official publication.
Résumé

This Law defines the entities that have the right on their own behalf (company) to engage in business activities in the Republic of Moldova, and establishes legal, organizational and economic foundations of this activity. This Law does not apply to legal entities and individuals, engaged in activities other than business. Entrepreneurship is an initiative carried out independently, from one’s own name, at their own risk and under their own property responsibility, the activities of citizens and their associations for the manufacturing of products, performance of work and provision of services for the purpose of providing a constant source of income. Entrepreneurial activity is carried out in organizational and legal form of enterprise. An enterprise is a business entity that has its own company (name), an entity constituted by an entrepreneur in accordance with the established legislative procedure. In accordance with this Law, an enterprise has the rights of legal or individual. Enterprises - legal entities and enterprises - individuals have the same rights and obligations, with the exception of property liability for their obligations. An enterprise becomes a subject of law from the moment of its state registration. The enterprise, in accordance with current legislation, has the right: (a) to carry out business activities as company; (b) to acquire (attract) property and property rights (including intellectual property) of other legal entities and individuals; (c) to participate with its property in the activities of other economic entities; (d) to use any type of resources in its activities, including natural, informational and intellectual resources; (e) to independently determine types of activities, form production program, select suppliers and consumers of manufactured products (works, services), perform work on a contractual basis under government orders; (f) to act as subjects of foreign economic relations; and (g) to carry out currency transactions. Exclusively state-owned enterprises shall be authorized to: (a) treatment of animals suffering from particularly dangerous diseases; and (b) carrying out astronomical - geodetic, gravimetric work, work in the field of hydrometeorology. Activities in the field of social entrepreneurship include activities in the fields aimed at: (a) promoting environmental protection activities; (b) waste management to reduce it and maximize its return to economic turnover, as well as preventing environmental pollution; (c) promoting activities for the protection of national heritage; and (d) carrying out activities in the field of tourism. This Law contains VII Chapter divided into 37 Articles. Chapter I lays down general provisions. Chapter II lays down the grounds of entrepreneurship. Chapter III establishes organizational and legal forms of business activity. Chapter IV regards constitution of enterprises. Chapter V regards registration and renewal of registration of enterprises. Chapter VI regards reorganization and liquidation of enterprises. Chapter VI (1) regards social entrepreneurship and social enterprise. Chapter VI (2) regards enterprises with status of fiscal monopoly. Chapter VII lays down final provisions.
