This Act enters into force on the date of its signature by the President (July 7, 2011).
Abstract

This Act, consisting of 70 Articles, is designed to establish the legal framework governing the formation, execution, and breach of contracts for the sale of goods. Its primary provisions can be categorized as follows (i) Formation of Contract (Chapter II), this section addresses crucial aspects such as the sale and agreement to sell (art.6), the process of creating a sales contract (art.8), and stipulations related to timing (art.15); (ii) Effects of the Contract (Chapter III), these articles specify conditions surrounding the transfer of property in goods (arts.22-25) and address situations where someone other than the owner sells the goods (art.27); (iii) Performance of the Contract (Chapter IV), this section outlines the respective duties of both the seller and buyer (art.34) and provides guidelines regarding the delivery of goods to the buyer (art.36); (iv) Rights of Unpaid Seller against the Goods (Chapter V), concerning information on the definition of an unpaid seller (art.46) and the rights granted to such a seller (art.47); (v) Additional Rights of the Buyer in Consumer Contracts (Chapter VI), this chapter covers the application of these additional buyer rights (art.56), including the right to have goods repaired or replaced (art.57); (vi) Actions for Breach of Contract (Chapter VII), this section discusses actions related to the price of goods (art.61) and actions in cases of non-acceptance and the measurement of damages (art.62).
