Abstract

The German Corporate Governance Code (the “Code”) contains principles, recommendations and suggestions for the Management Board and the Supervisory Board that are intended to ensure that the company is managed in its best interests. The Code is drafted in line with the principles of the social market economy – to take into account the interests of the shareholders, the enterprise’s workforce and the other stakeholders. In this draft, due attention is made to environmental and social factors including Recommendation A.1 that provides for identifying and assessing the risks and opportunities associated with social and environmental factors, as well as the ecological and social impacts of the enterprise’s activities by the Management Board. The text consists of 26 Principles divided into 7 Sections.
