This Act applies to companies formed in the Republic of Ghana and provides provision on formation of companies, application and incorporation process, powers and authority of companies, corporate governance and shareholding structure, liability of members, stated capital and dividends, decision making and resolutions, transfer of share, accounts and auditing and winding up. The Act provides for the provision that is applicable separately to public and private companies and external company that is defined as a company with a body corporate formed outside the Republic which, has an established place of business in the country. The Act further provides regulations on the offences, legal proceeding and general provisions. Full text English
